Terms of Trade.

These terms apply to every order you place with us. Please read them before opening a trade account. They are written for business customers buying for resale or business use.

1. About us and these terms

Genesis Black is a trading name of Genesis Black Limited, a company registered in England and Wales (company number 17381514). Registered office: 43 Granville Street, Bristol, England, BS5 9SW.

We supply business customers only, buying for resale or business use, and we do not sell to individual consumers. By registering a trade account or placing an order, you agree to these terms. In these terms, a 'working day' means Monday to Friday, excluding bank holidays in England.

2. Our terms take priority

These terms apply to every order, even if you send us your own terms, for example on a purchase order, email or invoice. If your terms and ours are different, our terms apply. Any other terms only apply if we agree to them in writing, signed or emailed by us.

3. Your trade account

We may accept or decline any registration, and we may ask for proof of your business and its address before opening an account. Once your account is approved, we will confirm your customer account number and our payment details by email.

Please keep the details you give us accurate and tell us promptly if they change. We may suspend or close an account if the details provided are false or misleading, if we reasonably suspect fraud, or if these terms are seriously or repeatedly broken.

4. Orders

Orders can be placed by email or in writing. An order is only accepted once we confirm it in writing, and every accepted order is subject to these terms. Product availability and prices are confirmed at the time of each order.

The minimum order value is £2,000. Delivery charges, where they apply, are not included in this amount and will be added to your order. Once confirmed, an order cannot be cancelled or changed without our written agreement.

5. Prices and payment

Delivery is charged separately unless we state otherwise.

We do not currently charge VAT, so no VAT is added to our prices. We accept payment by bank transfer, or by debit or credit card (including Google Pay and Apple Pay) through a secure payment link that we send to you with your proforma invoice. Payment is due in full, in cleared funds, before dispatch, and we do not offer credit terms. Our bank details and payment link are sent to you once your trade account is approved, and our bank details appear on every proforma invoice and invoice we issue. Please use the proforma or invoice number as your payment reference.

We only accept payments made from a business bank account held in the exact registered name of the business that holds the trade account with us. For example, if your trade account is in the name of ABC Limited, payment must come from a bank account in the name of ABC Limited. Card payments must be made with a business card issued in the registered name of the business. We will never ask for your card details by email or phone, so please only enter them on the secure payment page. We do not accept payments from personal bank accounts or personal cards, from the personal account of a director or employee, or from any other person or business, whether the payment is sent by mistake or on purpose. If we receive a payment that does not meet this rule, we will not accept it as payment, and your order will not be processed or dispatched. The money will only ever be returned to the account it came from, once the checks required by our bank are complete, and any bank charges or costs this causes will be deducted. You are fully responsible for any payment sent from the wrong account, and we are not liable for any delay, loss or cost this causes. We will never change our bank details by email. If you receive a message saying our bank details have changed, do not make a payment; contact us using the details on this website. We are not responsible for payments sent to an account other than the one shown on our invoice.

6. Pricing errors

If a price or product description contains an obvious error, we may correct it before the goods are dispatched. If the corrected price is higher, we will tell you, and you may either accept it or cancel the order and receive a full refund of any payment made. Any such refund will be made within 14 days.

7. Late payment

If any amount owed to us is not paid when due, we may suspend or cancel deliveries and claim interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

8. Delivery

Delivery charges and estimated delivery dates are confirmed with each order. Delivery dates are estimates, and we may deliver an order in more than one delivery.

Please check goods when they arrive and note any visible damage or shortage on the courier's delivery note when signing for them. Responsibility for the goods passes to you on delivery. Ownership of the goods passes to you once they have been paid for in full. The courier's proof of delivery (for example a signature, photograph, GPS location or delivery time) is evidence that delivery took place.

9. Safe-place delivery and missed deliveries

By opening a trade account and placing an order, you authorise us and our courier, if no one is available to receive the goods at your delivery address, to leave them in a safe place at that address, for example a porch, reception, goods-in area or another place you have told us about.

You can name a preferred safe place, or tell us that you do not want goods left in a safe place, at any time before an order is dispatched by emailing us. Where goods are left in a safe place under this authority, delivery is complete and responsibility for the goods passes to you at that point. We are not responsible for any loss, theft or damage after the goods have been delivered.

If delivery cannot be made at all, we may charge you for redelivery and any storage.

10. Storage, handling and resale

From delivery, you are responsible for storing and handling goods correctly, checking best-before and use-by dates on receipt, and making sure any goods you resell meet the labelling, allergen, food safety and product safety rules that apply to you. Manufacturers may change packaging or labelling from time to time, and this does not make the goods incorrect.

11. Marketplaces and brand restrictions

You are responsible for making sure you are permitted to resell the goods in the way you intend. We do not guarantee that you are permitted to sell any brand or product on a particular marketplace or platform (for example Amazon, eBay or TikTok Shop), or that a brand owner or platform will approve your listings. A marketplace, platform or brand restriction is not a fault in the goods and does not give a right to return, refund or credit.

12. Business supply and liability

Goods are supplied for resale or business use only. There is no statutory right to cancel a business order. If goods are damaged, faulty or incorrect, your remedy is a replacement, credit or refund, at our option, as set out in our Returns & Refund Policy.

We are not liable for any problem caused by you or anyone acting for you, including incorrect storage or handling, misuse, or incorrect order or delivery details, and you are responsible for any resulting cost or loss. Our total liability for any order is limited to the price paid for the goods in that order. We are not liable for any indirect or consequential loss, or for any loss of profit, revenue, business or goodwill. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.

13. Events outside our control and supply problems

We are not liable for delays or failures caused by events outside our reasonable control, including supplier or manufacturer failures, transport disruption, strikes, severe weather or government action. We will tell you as soon as possible if an order is affected. If an event outside our control delays an order by more than 30 days, either of us may cancel the affected part of the order.

If we cannot supply all or part of a paid order for any reason, we will refund the amount paid for the goods not supplied. Any such refund will be made within 14 days.

14. Changes to these terms and notices

We may update these terms from time to time. Any change applies only to orders placed after we have emailed you the updated terms or published them on this website. Orders already confirmed remain on the terms that applied when they were placed. We will send notices to the email address on your account, so please keep it up to date.

15. General

If any part of these terms is found to be invalid or unenforceable, the rest of these terms will continue to apply. If we do not enforce any right straight away, we can still enforce it later. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
